ABOUT US

ESTHERS Australia Ltd is a not-for-profit charity with DGR status. We provide Support to women during pregnancy and into the early parenting years on the Sunshine Coast and in Tasmania. A large proportion of our clients are vulnerable and dis-advantaged women. Our services operate from an outreach position across Tasmania and on the Sunshine Coast – offering women support in their own homes as well as offering centre based support where a physical hub is available.

The Company Secretary can be a Director on our Board, however this is not a necessity. To be on the Board the Australian Business Register requires all Directors to have a Directors ID. This is acquired through the My Gov ID app. The objective of the Board of Directors is to provide leadership, governance, and oversight of the running of ESTHERS Australia (EA) on behalf of its members.

About the role

As the Company Secretary for ESTHERS Australia this role plays an important part in supporting the board and its committees to effectively meet its responsibilities and obligations under the Australian Charities and Not for Profit Commission (ACNC) Act, the Corporations Act 2001 and other applicable legislations.

The scope of role includes legal, risks, compliance and governance activities while working closely with the Board and CEO to manage day to day company secretarial and board governance requirements. This includes periodic compliance reviews against all key frameworks and regulations.

In addition, as an Officer under the Corporations Act, the role has many of the same duties and obligations as a director.  

As the Company Secretary the role:

  • Provides high quality secretariat and governance services

  • Supports the Board and committees to carry out their roles

  • Discharges duties with care and diligence, in good faith and for a proper purpose.

Essential skill set -

  • Experience in Not-For-Profit Law and/or a minimum 3 years on a NFP Board and/or as a NFP Company Secretary or Assistant Company Secretary.

Highly desired skill set -

  • Graduate member of AICD

Interpersonal skills -

  • Professional outlook

  • Ability to communicate and interact with stakeholders, senior staff and people from diverse background

Organisational Skills -

  • Time management with ability to work under pressure maintaining priority of work flow

  • Results driven through teamwork

  • High level of confidentiality, discretion and judgement

Technical skills -

  • Applying corporate governance best practices

  • Minute taking, Drafting and proofreading skills with attention to detail

  • Diary management and/or organising meeting and calendars

  • Systems, policy and procedure development 

Willing to undertake

  • Essential pre-employment checks

Directors Position

The objective of the Board Directors is to provide leadership, governance, and oversight of the running of ESTHERS Australia (EA) on behalf of its members (EAL) is interested in applicants with either some Board experience or a willingness to learn. What is the Constitution?

The Constitution of ESTHERS Australia Limited sets out additional obligations imposed upon you as directors of ESTHERS Australia Limited, in that they are additional to the duties imposed by statute and by the courts.

The Constitution forms a contract which sets out, at a practical, operational level, what ESTHERS Australia Limited expects of you as a director. It is therefore imperative that you are familiar with the provisions of the Constitution from a twofold perspective:

1. to ensure that you fulfil the duties imposed on you as a director of ESTHERS Australia Limited; and

2. to enable you to ensure that ESTHERS Australia Limited is managed in a way which is consistent with the registered Constitution.

All potential directors will be given access to Esthers Australia Ltd. Constitution, to be read in conjunction with the Directors Manual.
